A corporation is a legal entity that is created under state law. The company files the Articles of Incorporation with the secretary of state, which then issues the certificate of incorporation. Please check out your specific state statutes on the rules around shareholders, annual meetings, etc. Also, a corporation can either be taxed as a s-corporation (a see-through entity) or a c-corporation (double taxation).
